Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (“you”, “your”, the “user”) and YBM Labs (“we”, “us”, “our”) governing your download, installation and use of BrokerBridge for macOS (the “App”). By downloading, installing, activating or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

1.1 The App

BrokerBridge is a local desktop application for macOS that reads investment/brokerage statements you provide, and organizes them into a consolidated view of your holdings, transactions, performance and related information. The App runs on your own Mac; your financial data is stored locally on your device. See the Privacy Policy for exactly what does and does not leave your computer.

1.2 License grant

Subject to your compliance with these Terms and payment of the applicable fee, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the App on up to three (3) Mac computers that you own or personally control, for your own personal, non-commercial household use.

1.3 Free trial

The App includes a free trial that lets you evaluate it before purchasing. The trial ends at the earlier of fourteen (14) days from first use or fifty (50) imported transactions, whichever comes first. When the trial ends, importing new data and adding new entries requires a valid license key; data you have already imported remains fully viewable. We may change the trial’s terms for future releases, but a change will not retroactively reduce a trial already in progress on your device.

1.4 Purchase, license key and activation

The App is sold as a one-time purchase that provides a perpetual license to use the version you purchased, including any updates we choose to release for that version. Purchases are processed by Gumroad, which acts as our reseller/merchant of record and issues you a license key. To remove trial limits you activate the App with your key; activation sends only your license key and the product identifier to Gumroad’s license-verification service to confirm the key is valid — it does not send your portfolio or financial data (see the Privacy Policy). A future major version of the App (for example a “version 2”) may be offered as a separate product requiring a new purchase; it is not included in this license.

1.5 What you may not do

You agree that you will not, and will not permit others to: - copy (except one backup for your own use), sell, rent, lease, lend, sublicense, distribute, publish or otherwise make the App available to any third party; - share, publish, resell or transfer your license key, or use a key not issued to you; - reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the limited extent this restriction is prohibited by applicable law; - circumvent, disable or tamper with the trial limits, license check, or any security or technical measure in the App; - remove or alter any proprietary notices; or - use the App for any unlawful purpose or in violation of these Terms.

1.6 Ownership and intellectual property

The App, including all software, design, text, graphics, logos and the BrokerBridge name, is owned by YBM Labs and/or its licensors and is protected by copyright and other laws. These Terms grant you a license to use the App; they do not transfer any ownership rights to you. All rights not expressly granted are reserved.

1.7 Your data and your responsibility

You are solely responsible for the statements and data you import, for verifying the App’s output against your official brokerage statements and tax documents, and for maintaining your own backups. The App provides backup/restore tools, but we are not responsible for any loss of data. The App’s numbers are for your information and learning; see the Disclaimer — the App does not provide financial, investment, tax or legal advice.

1.8 Third-party services

The App can, at your option, use third-party services. Your use of them is governed by their own terms and privacy policies, and we are not responsible for them: - Gumroad — purchase processing and license verification (gumroad.com); - Yahoo Finance (via the yfinance library) — optional market prices and exchange rates, requested by ticker symbol only; - Anthropic (Claude API) — optional AI-assisted extraction that you enable with your own API key; when you use it, the content you choose to extract is sent to Anthropic under Anthropic’s terms. Market data and AI output may be delayed, incomplete or inaccurate. We do not guarantee the availability of any third-party service.

1.9 Updates

We may, but are not obligated to, provide updates, bug fixes or improvements. Updates are provided under these Terms unless accompanied by separate terms. We may discontinue the App or any feature at any time.

1.10 Disclaimer of warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP’S OUTPUT (INCLUDING EXTRACTED FIGURES, MARKET DATA, CALCULATIONS OR INSIGHTS) WILL BE ACCURATE, COMPLETE OR RELIABLE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you; where required by law, any statutory warranties or consumer rights that cannot be excluded remain in effect.

1.11 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL YBM LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT OR FINANCIAL LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including the Ontario Consumer Protection Act, 2002).

1.12 Indemnification

You agree to indemnify and hold harmless YBM Labs from any claims, damages or expenses (including reasonable legal fees) arising from your misuse of the App or your breach of these Terms.

1.13 Termination

This license is effective until terminated. It terminates automatically if you breach these Terms. On termination you must stop using the App and delete all copies. Sections that by their nature should survive (ownership, disclaimers, limitation of liability, governing law) survive termination.

1.14 Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute, except where applicable consumer-protection law entitles you to bring a claim in your place of residence.

1.15 Changes to these Terms

We may update these Terms from time to time. The “Last updated” date shows the current version, and material changes will be posted on our website. Continued use of the App after changes take effect means you accept the revised Terms.
